Danish companies register online on virk.dk. An ApS needs DKK 20,000 capital (reduced from 40,000 on 27 February 2025) and a DKK 670 registration fee. Sole traders register on virk.dk too.

Setting up from abroad

Non-residents can found an ApS; no Danish director is required. Founders and managers sign digitally with MitID (obtainable without a CPR number via an approved foreign eID route), or register a non-Danish company with form Start-40.112.

SOLE TRADER

Enkeltmandsvirksomhed: Enkeltmandsvirksomhed (sole proprietorship)

Freelancers and small traders wanting the simplest start with no capital.

Steps

  1. Log in at virk.dk with MitID.

  2. Register the business and get a CVR number.

  3. Register for VAT (moms) if turnover exceeds DKK 50,000 in 12 months.

  4. Register for employer duties (A-skat, AM contributions) if hiring.

  5. Set up NemKonto and a business bank account.

  6. Complete the preliminary tax assessment (forskudsopgørelse) with Skattestyrelsen.

Steps

  1. Choose a company name and check availability on virk.dk.

  2. Draft the articles of association and founding document (stiftelsesdokument).

  3. Open a bank account and deposit DKK 20,000, or provide a valuation statement for contributions in kind.

  4. Log in to virk.dk with MitID; founders and managers sign the registration digitally.

  5. Submit the registration to Erhvervsstyrelsen and pay the DKK 670 fee.

  6. Receive the CVR number, typically within days.

  7. Register for VAT, employer duties and corporation tax; set up NemKonto and Digital Post.
