Every UK company must have a registered office: an address in England and Wales, Scotland or Northern Ireland to match where it is registered, where official documents can be delivered and acknowledged. It is published on the register, and it is the address Company Signal uses to build its city pages. It is also, read carefully, one of the most informative fields on a new company's record.
The legal position
The Companies Act requires a registered office, and the Economic Crime and Corporate Transparency Act 2023 tightened the rule from March 2024: it must be an appropriate address, meaning a document delivered there would be expected to come to the attention of a person acting for the company, and delivery can be acknowledged. A bare PO Box no longer qualifies. Companies House can change a non-compliant address to a default address, which is itself a flag on the record.
The registered office does not have to be where the company trades, and very often is not. Directors also have separate service addresses, and their residential addresses are held but not published.
Four kinds of address, and what they mean
| What you see | How to recognise it | What it suggests |
|---|---|---|
| Formation agent address | A central London or city-centre office appearing on thousands of companies, often with a suite or unit number | The company was formed online for a small fee. No premises yet; the founder is likely working from home. |
| Accountant's address | A firm of accountants' office, shared by tens to hundreds of companies | The company already has an accountant. Do not pitch accounting; do pitch what the accountant does not do. |
| Residential address | A house number and street in a residential area | A founder working from home who chose not to pay for an address service. Frugal, hands-on, probably the decision-maker. |
| Commercial premises | An office, unit, shop or industrial estate address unique to this company | The company has somewhere to work. Fit-out, insurance, IT, utilities and local services are live conversations. |
The most useful filing is the move
Form AD01, change of registered office, is worth watching. A company that moves from a formation agent's address to a commercial unit six months after incorporation has almost certainly signed a lease. A move to an accountant's address means it has appointed one. A move away from an accountant's address can mean it has changed advisers. On Company Signal, address changes appear on the company activity timeline and in the filing history.
Address companies
Every Company Signal profile has an Address companies section that looks at the registered office in context. A formation address shared with thousands of companies is recognisable at a glance; a unique commercial address tells a different story. The AI analysis uses the address type as one of its signals, labelled as interpretation, because an address is a strong hint and not a fact about how a business operates.
Cautions
- A city on the register is where the company is registered, not necessarily where it trades. A Manchester-registered company can serve clients in London.
- Serviced-office and virtual-office addresses look commercial but behave like formation addresses. Check whether many companies share them.
- Do not send physical marketing to a residential registered office. It is a legal address, not an invitation.
QUICK ANSWERS
Questions this article answers
- Does a registered office have to be where the company trades?
- No. It must be an appropriate address in the jurisdiction of registration where documents can be delivered and acknowledged. Many companies use their accountant's or a formation agent's address.
- Can a company use a PO Box as its registered office?
- No. Since March 2024 the registered office must be an appropriate address where delivery can be acknowledged; a PO Box on its own does not qualify.
